Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Slate, a professional contact management service for the entertainment industry, operated by Fian (“we,” “us,” or “our”). By creating an account or using Slate, you agree to these Terms.
1. The Service
Slate is a subscription-based contact manager that helps entertainment industry professionals — actors, crew, casting directors, agents, and others — organize their professional relationships, track touchpoints, and manage representation.
We reserve the right to modify, suspend, or discontinue the service at any time with reasonable notice. We will not be liable to you or any third party for any such modification, suspension, or discontinuation.
2. Eligibility
You must be at least 18 years old and capable of forming a binding contract to use Slate. By using the service, you represent that you meet these requirements. Slate is intended for professional use; you may not use it for personal, family, or household purposes unrelated to your entertainment industry work.
3. Account Registration
Accounts are created and authenticated via a one-time SMS passcode sent to your US mobile phone number. You are responsible for maintaining the security and confidentiality of your account. You must provide accurate information and keep it current. You may not share your account with others or create accounts on behalf of third parties without authorization.
Standard carrier messaging rates apply when we send verification codes to your phone.
4. Subscription and Billing
Slate requires a paid subscription. Pricing is displayed at the time of sign-up and may change with at least 30 days' notice to active subscribers. Subscriptions renew automatically on a monthly basis unless cancelled. You may cancel your subscription at any time from your account settings; cancellation takes effect at the end of the current billing period.
All fees are non-refundable except where required by applicable law or as expressly stated in a separate written agreement.
5. Your Content
You retain ownership of all contact data, notes, and other information you enter into Slate (“Your Content”). By using the service, you grant us a limited, non-exclusive license to store, process, and display Your Content solely to operate and improve Slate.
You are responsible for ensuring that Your Content does not violate any applicable laws or the rights of third parties. You may not use Slate to store or transmit material that is unlawful, defamatory, harassing, or that infringes on intellectual property rights.
The individuals whose information you store in Slate have rights over their own data. You are responsible for complying with any applicable obligations to those individuals, including obtaining consent where required.
6. Acceptable Use
You agree not to:
- Use Slate for any unlawful purpose or in violation of these Terms;
- Attempt to gain unauthorized access to any part of the service or its infrastructure;
- Scrape, crawl, or systematically extract data from the service;
- Interfere with or disrupt the integrity or performance of the service;
- Use the service to send unsolicited commercial communications;
- Reverse engineer, decompile, or disassemble any part of the service.
7. Intellectual Property
Slate and its underlying software, design, trademarks, and content are owned by Fian and are protected by applicable intellectual property laws. Nothing in these Terms grants you any right in our intellectual property beyond what is necessary to use the service as described.
8. Third-Party Services
Slate relies on third-party services for certain functionality, including SMS delivery and analytics. Your use of Slate may be subject to the terms and policies of those third-party providers. We are not responsible for the acts or omissions of third-party service providers.
9. Privacy
Your use of Slate is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
10. Disclaimer of Warranties
Slate is provided “as is” and “as available” without any warranties of any kind, express or implied. We do not warrant that the service will be uninterrupted, error-free, or free of harmful components. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
11. Limitation of Liability
To the maximum extent permitted by applicable law, Fian and its officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of Slate, even if we have been advised of the possibility of such damages. Our total liability for any claim arising from your use of Slate will not exceed the amounts you paid us in the twelve months preceding the claim.
12. Indemnification
You agree to indemnify and hold harmless Fian and its officers, employees, and affiliates from any claims, damages, or expenses (including reasonable legal fees) arising from your use of Slate, Your Content, or your violation of these Terms.
13. Termination
We may suspend or terminate your access to Slate at any time for material violations of these Terms, with or without notice. You may also delete your account at any time from your account settings. Upon termination, your right to use Slate ceases immediately. We will retain or delete Your Content in accordance with our Privacy Policy and applicable law.
14. Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes arising under these Terms will be subject to the exclusive jurisdiction of the courts located in Los Angeles County, California.
15. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the effective date at the top of this page and, for material changes, notify you by email or through the service. Your continued use of Slate after changes become effective constitutes your acceptance of the updated Terms.
